Business law: A warehouse needs to register?

Kim Hong Company Limited (the Company) consulted Pham & Associates that "The company leased a warehouse for purpose of keeping its goods, what procedures need the warehouse register with the authorities?"

In connection with the above matter, Pham & Associates advised that opening a warehouse was an expansion of the business activities of enterprises like opening a branch or representative office. The Vietnam business Law 2005 and the guidelines of implementation stipulated as the following:

- Representative Office is responsible for the authorized representative of its business interests and the protection of such interests.

- Branch Office is responsible for implementation all or a part of the functions of business including the role played by the authorized representative. The lines of business of branch office must conform itself to the lines of business of its mother company.

- Business location is where it is situated particular business. Business location can be placed and registered outside its headquarters.

A warehouse of the Company needs to registere. Depending on the demand and the management purposes, the Company may choose a suitable form to register accordingly. In this case, the warehouse should be registered as a business location. The administrative procedures will be executed at the Provincial Business Registration Office where the headquarters is located and the information about its business location will be specified in the business license.
